3. Projects & Scope
All client work is based on an agreed project scope.
Requests outside the agreed scope, including additional pages, features, concepts, revisions, or deliverables, may require additional fees and may affect the project timeline.
Delays caused by late feedback, missing content, approvals, or third-party services may also affect delivery dates.
4. Client Responsibilities
Clients are responsible for providing accurate information, content, brand assets, credentials, and feedback required for a project.
You confirm that any materials you provide to Torque are owned by you or properly licensed for use.
5. Payments
Project fees and payment schedules will be agreed upon before work begins.
An upfront payment may be required to start a project. Work may be paused if payments become overdue.
Additional work outside the agreed scope may be charged separately.
Payments for work already completed or commenced are generally non-refundable, except where otherwise agreed or required by law.
6. Revisions & Approvals
The number of revisions included in a project will depend on the agreed scope.
Clients are responsible for reviewing and approving work within the agreed timeframe. Significant changes after approval may be treated as additional work.
7. Intellectual Property
Torque retains ownership of its pre-existing tools, processes, templates, frameworks, design systems, code libraries, concepts, and other proprietary materials.
Once full payment has been received, rights to the final client-specific deliverables will be transferred or licensed as specified in the applicable project agreement.
Third-party assets, software, fonts, plugins, and platforms remain subject to their respective licenses and terms.
8. Portfolio Use
Unless otherwise agreed in writing, Torque may display completed work in its portfolio, website, case studies, presentations, and social media.
Confidential or unreleased work will not knowingly be published without appropriate permission.
9. Third-Party Services
Projects may depend on third-party platforms, including hosting providers, advertising platforms, analytics tools, APIs, plugins, and other software.
Torque does not control these services and cannot guarantee their availability, pricing, performance, or continued functionality.
10. Marketing Results
Marketing, advertising, SEO, and growth services involve variables outside our control.
We do not guarantee specific results such as revenue, leads, traffic, rankings, conversions, or return on investment.
Our recommendations are based on available information, research, strategy, and professional judgment.
11. Confidentiality
Both parties agree to reasonably protect confidential information shared during a project and not disclose it unnecessarily to third parties, except where required to provide the services or by law.
12. Limitation of Liability
To the maximum extent permitted by law, Torque will not be responsible for indirect or consequential losses, including loss of revenue, profits, data, opportunities, or business interruption.
Where legally permitted, Torque's total liability for a project will be limited to the amount paid to Torque for that project.
13. Termination
Either party may terminate a project according to the applicable project agreement.
Torque may suspend or terminate services for serious breaches of these Terms, unpaid invoices, unlawful activity, or abusive conduct.
The client remains responsible for payment for work completed before termination.
14. Changes to These Terms
We may update these Terms from time to time. The latest version will always be published on this page with the updated date.
15. Governing Law
These Terms are governed by the laws applicable to Torque's place of operation, unless a separate written agreement states otherwise.
